    3. Obligations of the Recipient

    The Recipient agrees to:

    • Maintain the confidentiality of all Confidential Information received.
    • Use Confidential Information solely for the purpose of SayPro research activities.
    • Not disclose Confidential Information to any third party without prior written consent from SayPro.
    • Take all reasonable measures to protect Confidential Information from unauthorized access or disclosure.

    4. Duration

    The confidentiality obligations shall remain in effect during the Recipient’s involvement with SayPro and continue for a period of [e.g., 3 years] after termination of participation or employment.


    5. Exceptions

    Confidential Information does not include information that:

    • Is or becomes publicly available without breach of this Agreement.
    • Was known to the Recipient prior to disclosure by SayPro.

    • Is required to be disclosed by law or court order (with prior notice to SayPro).

    6. Return of Materials

    Upon request or termination of involvement, the Recipient agrees to return or destroy all materials containing Confidential Information.

    The Recipient acknowledges that unauthorized disclosure of Confidential Information may cause irreparable harm to SayPro and agrees to comply fully with this Agreement.
