SayPro Confidentiality Non-Disclosure Agreement (NDA)
This Confidentiality and Non-Disclosure Agreement (“Agreement”) is entered into between:
- SayPro (Pty) Ltd, a company incorporated under [Jurisdiction], with its principal office at [Company Address] (“SayPro”)
AND - [Employee/Contractor/Partner Full Name], residing at [Address] (“Recipient”)

1.SayPro Purpose
The Recipient may be given access to confidential or proprietary information belonging to SayPro for the purpose of fulfilling professional duties, employment, or project responsibilities.
2.SayPro Definition of Confidential Information
“Confidential Information” includes, but is not limited to:
- User data and research findings
- Internal reports, policies, and documents
- Business strategies, partnerships, and financials
- SayPro intellectual property (IP), prompts, and software code
- All non-public information disclosed orally, electronically, or in writing
3.SayPro Obligations of the Recipient
The Recipient agrees to:
- Maintain the confidentiality of all SayPro information
- Use the information solely for purposes authorized by SayPro
- Not disclose any confidential information to third parties without written consent
- Take all reasonable precautions to protect the confidentiality of the information
4. SayPro Exclusions
Confidentiality obligations do not apply to information that:
- Was publicly known at the time of disclosure
- Becomes publicly known through no fault of the Recipient
- Is disclosed with SayPro’s written consent
- Is required to be disclosed by law (with prior notice to SayPro)
5.SayPro Duration
This Agreement remains in effect:
- During the Recipient’s association with SayPro
- And for five (5) years following the termination of that relationship
6.SayPro Return or Destruction of Information
Upon termination of the relationship, the Recipient shall return or destroy all SayPro confidential materials in their possession.
7.SayPro Breach and Remedies
A breach of this Agreement may result in:
- Disciplinary action (for employees)
- Legal action, including injunctions or claims for damages
- Termination of contract or access
8.SayPro Governing Law
This Agreement shall be governed by the laws of [Applicable Jurisdiction].
9.SayPro Acknowledgment
By signing below, the Recipient agrees to the terms above and acknowledges their duty to protect SayPro’s confidential information.
