SayPro Confidentiality and Compliance Form

This Confidentiality and Compliance Agreement (“Agreement”) is entered into as of [Date], by and between SayPro (“Company”) and [Researcher/Participant Name] (“Recipient”).

1. Purpose

The Recipient agrees to participate in research activities conducted by SayPro and acknowledges that during the course of such research, confidential and proprietary information may be disclosed.

2. Definition of Confidential Information

For purposes of this Agreement, “Confidential Information” includes all non-public information, data, materials, documents, trade secrets, and other proprietary information disclosed by SayPro to the Recipient, whether oral, written, or electronic, related to the research project.

3. Obligations of Recipient

The Recipient agrees to:

• Maintain the confidentiality of all Confidential Information.
• Use the Confidential Information solely for the purpose of the research project.
• Not disclose Confidential Information to any third party without prior written consent from SayPro.
• Take all reasonable steps to protect the confidentiality of the information.
• Comply with all applicable laws, regulations, and Company policies related to the research activities.

4. Compliance with Laws and Ethical Standards

The Recipient agrees to comply with all relevant laws, regulations, and ethical standards applicable to the research, including but not limited to data protection and privacy laws.

5. Return or Destruction of Materials

Upon completion or termination of the research, the Recipient shall return or destroy all materials containing Confidential Information, as directed by SayPro.

6. No License

No rights or licenses under any patents, copyrights, or other intellectual property rights are granted by this Agreement.

7. Term

This Agreement shall remain in effect for a period of [X] years from the date of signing.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].
