SayPro Research Royalty Non-Disclosure Agreement (NDA)

1. Parties

This Agreement is entered into by and between:

• SayPro Research Royalty, hereafter referred to as “Disclosing Party”

2. Purpose

The Receiving Party agrees to receive confidential information from the Disclosing Party solely for the purpose of participating in or supporting SayPro Research Royalty initiatives, projects, or related activities.

3. Definition of Confidential Information

“Confidential Information” means all non-public, proprietary, technical, financial, operational, and strategic data disclosed in any form (written, oral, electronic, or other) related to SayPro Research Royalty.

4. Obligations of Receiving Party

• Maintain confidentiality of all Confidential Information.
• Use the Confidential Information only for the stated Purpose.
• Not disclose Confidential Information to any third party without prior written consent from the Disclosing Party.
• Take reasonable security measures to protect Confidential Information.

5. Exclusions

Confidential Information does not include information that:

• Was publicly known at the time of disclosure or becomes public through no fault of the Receiving Party.
• Was already known to the Receiving Party prior to disclosure.
• Is independently developed by the Receiving Party without use of or reference to the Confidential Information.
• Is required to be disclosed by law or court order (with prior notice to Disclosing Party).

6. Term

This Agreement remains in effect for a period of [X] years from the date of signing, or until the Confidential Information no longer qualifies as confidential, whichever is later.

7. Return or Destruction of Information
