1. Purpose
The parties wish to engage in discussions and share information relating to SayPro’s research, data collection, analysis projects, platform enhancements, and associated services. This Agreement governs the protection and permitted use of Confidential Information and Research Data shared for the above purposes.
2. Definitions
2.1 Confidential Information:
All non-public data, documents, ideas, methods, reports, research instruments, business plans, system architecture, client or user information, and technical details disclosed by SayPro, whether written, oral, or electronic.
2.2 Research Data:
Any quantitative or qualitative data collected, analyzed, or generated through SayPro research activities, including but not limited to user surveys, interviews, analytics, testing, and feedback.
3. Obligations of Confidentiality
The Recipient agrees to:
- Use Confidential Information and Research Data solely for the agreed research purposes.
- Not disclose, copy, or reproduce any part of the Confidential Information without prior written consent from SayPro.
- Implement appropriate safeguards to protect confidentiality.
- Notify SayPro immediately upon discovery of any unauthorized access, use, or disclosure.
4. Ownership and Intellectual Property
- All Confidential Information and Research Data remain the exclusive property of SayPro.
- Any insights, analyses, tools, or reports created using SayPro’s data are co-owned, unless otherwise agreed in writing.
- Recipient grants SayPro a royalty-free, worldwide license to use any derivative research findings related to SayPro’s mission.
5. Research Ethics and Compliance
Recipient agrees to:
- Conduct all research in line with ethical standards (e.g., voluntary participation, anonymity, informed consent).
- Comply with applicable privacy laws (POPIA, GDPR, etc.).
- Ensure data subject rights are respected and protected.
6. Term and Termination
- This Agreement is effective as of the date above and remains in force for a period of 3 years, or until terminated by either party with 30 days’ notice.
- Obligations of confidentiality survive termination for a period of 5 years.
7. Return or Destruction of Data
Upon completion or termination of the research project:
- Recipient will return or securely destroy all Confidential Information and Research Data within 14 days.
- Confirmation of destruction may be requested by SayPro.
8. Remedies and Indemnification
- Recipient shall indemnify SayPro against any loss, damages, or claims arising from misuse of Confidential Information or violation of this Agreement.
- SayPro may seek injunctive relief in case of breach.
9. General Provisions
- This Agreement shall be governed by the laws of the Republic of South Africa.
- Any disputes shall be resolved under the jurisdiction of South African courts.
- No modifications are valid unless in writing and signed by both parties.
